Terms and Conditions for RenderToVideo

These Terms and Conditions (the "Agreement") govern the services provided by RenderToVideo, a service converting static 3D renderings into dynamic animated videos ("we," "us," or "RenderToVideo"), and you ("Client," "Customer," or "User"). By engaging RenderToVideo for any service, you agree to the terms set forth below.

1. Scope of Services

1.1 RenderToVideo provides services including but not limited to the transformation of static 3D renderings into animated videos, vertical animations for social media, and custom title slides.

1.2 Customization of videos includes branding elements such as logos, title slides, music, and limited revisions as specified in the service package selected by the Client.

2. Client Obligations

2.1 Submission of Materials: The Client shall provide all necessary assets, including but not limited to high-resolution logos, brand guidelines, renderings, fonts, and any other materials specified during onboarding.

2.2 Accuracy of Materials: The Client is solely responsible for ensuring the accuracy, quality, and completeness of all assets provided.

2.3 Timely Feedback: The Client agrees to provide feedback and approvals in a timely manner to prevent delays in delivery timelines.

3. Revisions and Approvals

3.1 Revision Rounds: Each package includes a specific number of revisions. Additional revision requests beyond those included in the package will incur extra fees, which must be paid before further work commences.

3.2 Revision Timelines: Revision requests must be submitted within 48 hours of draft delivery. Failure to do so may result in additional charges or delays.

4. Payment Terms

4.1 Payment Method: Payments are processed securely through Stripe or other mutually agreed-upon methods.

4.2 Upfront Payment: Full payment is required upfront before any work begins.

4.3 Non-Refundable Deposit: In cases where partial payments or deposits are permitted, such payments are non-refundable once production begins.

4.4 Late Payments: Any unpaid balance beyond 14 days from invoice date may accrue interest at 1.5% per month or the maximum rate permitted by law, whichever is lower.

5. Delivery Terms

5.1 Delivery Timeline: RenderToVideo will endeavor to meet agreed timelines. Delivery times are contingent upon timely receipt of Client materials and feedback.

5.2 Final Format: Videos will be delivered in MP4 format unless otherwise specified.

5.3 Delays: RenderToVideo is not responsible for delays caused by the Client’s failure to meet submission or feedback deadlines.

6. Ownership and Usage Rights

6.1 Client Ownership: Upon full payment, the Client retains ownership of the final video and associated materials, subject to section 6.3.

6.2 RenderToVideo Rights: RenderToVideo retains the right to use completed videos for promotional, marketing, and portfolio purposes unless otherwise agreed upon in writing.

6.3 Third-Party Elements: Any third-party licensed assets used in the video remain subject to the original license terms and may not be transferred to the Client.

7. Limitations of Liability

7.1 RenderToVideo is not liable for any delays caused by incomplete, inaccurate, or substandard materials provided by the Client.

7.2 RenderToVideo is not responsible for the quality of third-party elements (e.g., low-resolution logos, renderings, or images) submitted by the Client.

7.3 RenderToVideo shall not be held responsible for any indirect, incidental, or consequential damages arising from the use or inability to use the delivered video.

8. Cancellation and Refunds

8.1 Cancellation Policy: Orders may be canceled prior to the commencement of production. Any refunds for cancellations after production has started are at the sole discretion of RenderToVideo and will be based on the work completed.

8.2 Non-Refundable Services: Services rendered prior to cancellation, including initial drafts and revisions, are non-refundable.

9. Confidentiality

9.1 RenderToVideo agrees to treat all Client-provided materials as confidential and will not disclose or use them for purposes other than completing the agreed services.

9.2 This confidentiality obligation does not extend to information that is publicly available, previously known to RenderToVideo, or independently developed.

10. Force Majeure

10.1 RenderToVideo is not liable for delays or failure to perform caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, government actions, labor disputes, and power outages.

11. Indemnification

11.1 The Client agrees to indemnify and hold RenderToVideo harmless from any claims, damages, or liabilities arising from:

The Client’s breach of this Agreement.

Misuse of the final video by the Client or third parties.

Claims related to the intellectual property of Client-provided assets.

12. Dispute Resolution

12.1 Any disputes arising out of or relating to this Agreement shall first be attempted to be resolved through good-faith negotiations.

12.2 If a resolution cannot be reached, disputes shall be submitted to binding arbitration in accordance with the rules of the Singapore International Arbitration Centre (SIAC). The decision of the arbitrator shall be final and binding.

13. Governing Law

13.1 This Agreement shall be governed by and construed in accordance with the laws of Singapore. Any legal action related to this Agreement shall be brought in the courts of Singapore.

14. Amendments

14.1 RenderToVideo reserves the right to amend these Terms and Conditions at any time. The Client will be notified of any material changes, and continued use of services constitutes acceptance of the updated terms.

15. Entire Agreement

15.1 This Agreement constitutes the entire understanding between the Client and RenderToVideo, superseding all prior agreements, representations, and understandings.

15.2 Any modifications or amendments must be made in writing and signed by both parties.
